Terms of Service

Please read these Terms of Service ("Terms") carefully before using Midpoint (the "Service"), operated by Amanda Paige ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Midpoint is a software tool that helps service-based businesses manage client information, plan and optimize delivery/service routes, and coordinate field crew scheduling.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using Midpoint, you represent that you meet these requirements.

3. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to provide accurate information when creating an account.
  • You are responsible for the accuracy of any client data (names, addresses, phone numbers, notes) you upload or enter into the Service.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

  • Midpoint is offered on a subscription basis, billed monthly, processed securely through Stripe.
  • A free trial period may be offered; unless canceled before the trial ends, your subscription will automatically begin and your payment method will be charged.
  • Subscriptions automatically renew each billing period until canceled.
  • You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods, except where required by law.
  • We reserve the right to change subscription pricing with reasonable advance notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload data you do not have the right or permission to store and use (e.g., client information collected without proper consent)
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service's infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the Service

6. Your Data

  • You retain ownership of all client and business data you input into the Service ("Your Data").
  • You are solely responsible for ensuring you have the legal right to collect, store, and process any personal information (such as client names, addresses, and phone numbers) that you input into the Service, including compliance with any applicable privacy laws in your jurisdiction.
  • We do not claim ownership over Your Data and will not sell it to third parties.

7. Third-Party Services

Midpoint relies on third-party services to operate, including but not limited to:

  • Mapbox — mapping, geocoding, and route optimization
  • Supabase — database hosting and authentication
  • Stripe — payment processing
  • Resend — transactional email delivery
  • Vercel — application hosting

Your use of the Service is also subject to the applicable terms and privacy policies of these providers where relevant.

8. Availability and Changes to the Service

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to notify users of material changes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT ROUTE OPTIMIZATIONS, MAP DATA, OR OTHER OUTPUTS OF THE SERVICE WILL BE ERROR-FREE OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ARE RESPONSIBLE FOR VERIFYING ROUTE AND SCHEDULING INFORMATION BEFORE RELYING ON IT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service and cancel your subscription at any time. Upon termination, your right to access the Service will cease, though certain data retention practices are described in our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Mississippi.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
